B2B Wholesale Terms & Conditions

These terms and pricing policies are set by the Brand’s founder, Saeam Kwon, to ensure quality, consistency, and a sustainable wholesale partnership.

For the purpose of these Terms & Conditions, “Brand” refers to Saeam Kwon, and “Retailer” refers to the approved business purchasing the Products for resale.

1. Eligibility & Approval

1.1 All wholesale and consignment partnerships are subject to prior written approval.

1.2 The Brand reserves the right to decline any application at its sole discretion.

1.3 Retailers must operate a registered business that is aligned with the Brand’s positioning and values.

1.4 The Brand may request store visuals, business information, and/or marketing plans prior to approval.

2. Minimum Order Requirements

2.1 Opening order minimum: €800, excluding shipping.

2.2 Reorder minimum: €400.

2.3 A minimum of 10 units per design and colour applies to all standard wholesale orders. Different designs and colours may be combined to meet the overall opening or reorder minimum.

3. Wholesale Selection

3.1 Wholesale is available for selected pieces only. One-of-a-kind, limited-edition, and experimental pieces are generally not available for wholesale.

3.2 Minimum order quantities and wholesale pricing may vary depending on the design, production complexity, size, and price point of each item. Certain pieces, such as teapots, large plates, and vases, may be available under adjusted wholesale terms rather than the standard conditions.

Please refer to the current wholesale price list for item-specific requirements or contact the Brand directly for clarification.

4. Trial Orders

4.1 Trial orders are available at retail price only and may be credited toward a future approved wholesale order.

4.2 The credit is calculated based on the applicable wholesale price, rather than the full retail price, and will be deducted from the final wholesale order.

4.3 The credit applies only to the same design. Colour variations may be combined to meet the minimum quantity of 10 units per design in the final wholesale order.

4.4 Trial order credits are not transferable and cannot be exchanged for cash or applied to other designs.

5. Pricing Policy

5.1 Retailers agree to respect the Brand’s official MSRP (Manufacturer’s Suggested Retail Price).

5.2 The recommended retail price is approximately 2× the wholesale purchase price, and may be up to 2.5× the wholesale purchase price including applicable taxes, depending on the market and local tax requirements.

5.3 Persistent or intentional price undercutting may constitute grounds for termination of the wholesale partnership.

6. Distribution Restrictions

6.1 Products may only be sold through the Retailer’s approved physical location and/or approved website.

6.2 Wholesale purchases may not be made solely for private or personal use.

6.3 Sub-distribution, resale to other retailers, or wholesale resale is not permitted without prior written approval from the Brand.

6.4 Violation of these distribution restrictions may result in immediate termination of the partnership.

7. Marketing & Brand Representation

7.1 Retailers agree to actively and appropriately represent and promote the Brand.

7.2 The Brand must be appropriately tagged and credited in digital communications and social media posts featuring the Brand’s products.

7.3 Products must be displayed and presented in a manner consistent with the Brand’s visual identity and positioning.

7.4 Brand-provided imagery, text, logos, and other marketing materials may not be altered without prior consent.

8. Payment Terms

8.1 First-time wholesale orders require 100% prepayment.

8.2 Existing approved wholesale partners may qualify for 50% deposit / 50% balance payment terms at the Brand’s discretion.

8.3 For all international orders, taxes, customs duties, insurance, and shipping costs are the responsibility of the Retailer.

8.4 Late payments may incur a late payment fee of 5% per month, where legally permitted.

9. Production & Material Variations

9.1 All products are handmade. Minor variations in glaze, texture, colour, and form are inherent characteristics of handmade ceramics and are not considered defects.

9.2 Kiln-related incidents, including damage or loss during firing, are rare but possible. In such cases, the Brand will inform the Retailer and determine the appropriate resolution on a case-by-case basis.

9.3 Claims for damage occurring during transit must be submitted within 48 hours of delivery, together with clear photographic evidence of the packaging and damaged products.

9.4 The standard production lead time is a minimum of 6 weeks. Actual production time may vary depending on the Brand’s current workload, order volume, and material availability.

9.5 Orders requiring prioritised production may be accommodated subject to availability and may incur an additional 20–40% rush fee, depending on the size and complexity of the order.

10. Intellectual Property

10.1 All designs remain the intellectual property of the Brand.

10.2 Copying, moulding, reproducing, or creating derivative designs based on the Brand’s work is strictly prohibited.

10.3 The Brand retains all rights to its imagery, text, and other original content.

11. Exclusivity (Optional)

11.1 Exclusivity within a defined geographic area may be granted upon separate written agreement.

11.2 Exclusivity is subject to a minimum agreed annual purchase volume.

11.3 Failure to meet the agreed purchase targets may result in the automatic termination of exclusivity.

12. Termination

12.1 The Brand reserves the right to terminate the wholesale partnership in the event of a breach of these Terms & Conditions.

12.2 Upon termination, the Retailer must immediately cease the use of the Brand’s logos, imagery, text, and other Brand materials.

12.3 Any outstanding payments and contractual obligations remain due following termination.
